General conditions of sales & delivery

Orders and invoices

Our quotations are subject to change without notice, except when otherwise expressly agreed upon. Divergencies from our sales conditions, especially conditions of the Buyer, are only valid if confirmed by us in writing. Prices are based on today’s freights, tariffs and rates of exchange; any change thereof up to delivery time is for Buyer’s account. For the invoice the shipping weight of the goods established in our factory will be binding.

Payment

The place of settlement is Maerstetten, except when otherwise agreed upon. Any supplementary charges, such as the fees charged by bankes for remittance and collection are for Buyer’s account.

Delivery

Delivery obligations and terms are suspended as long as the Buyer is in default. In case of doubt as to the solvency of the Buyer, we reserve the right to make any further performances dependent upon satisfactory securities or to ask payment in advance. Plant breakdown, shortage of labour or raw materials, strikes, traffic impediments as well as other instances of force majeure dispense us, for the time of such disturbances and the extent of their operation, from the obligation to deliver. Besides, they entitle us to withdraw from the contract wholly or partially.

Shipment

All consignments are forwarded at the Buyer’s risk, also export consignments, as far as no other stipulations have expressly been agreed upon. The selection of the route and mode of transport is done by us. Requests of the Buyer are taken into consideration as far as possible.

Claims

All claims as to quality or quantity are to be raised within 10 days after receipt of the goods, in writing or by cable. When claims are duly submitted to and recognized by us, we are only obliged to exchange the goods for which the claim has been made, and in case such an exchange is impossible, to take them back and refund the purchase price. No goods are to be returned without our express consent. We do not take any responsibility for the quality of goods manufactured with our products.

Incoterms

In cases of doubt the <Incoterms> published by the International Chamber of Commerce will be applied, unless the conditions stipulated above are divergent therefrom.

Jurisdiction

All our delivery contracts are subject to Swiss law. The competent courts are those of Weinfelden.
